1. Introduction

You agree to indemnify, defend, and hold harmless Incentrex, Inc., its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your violation of these Terms or your misuse of the Service.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Chittenden County, Vermont. You consent to the jurisdiction and venue of such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Service after such posting constitutes your acceptance of the updated Terms.
